General Terms and Conditions

The following General Terms and Conditions (GTC) apply to all orders, deliveries and services via the online shop idcraft.shop of IDCRAFT GmbH. IDCRAFT expressly does not address its offers to consumers.

1. Scope and Validity

1.1

These General Terms and Conditions apply to all contracts concluded via the online shop idcraft.shop as well as all other transactions, services and deliveries between IDCRAFT GmbH (hereinafter "IDCRAFT" or "we") and companies (Section 14 of the German Civil Code, BGB) as well as legal entities under public law or special funds under public law (hereinafter "Customer"). IDCRAFT expressly does not direct its offers to consumers (Section 13 BGB).

1.2

IDCRAFT does not recognise the Customer's purchasing conditions or any other conditions that deviate from these GTC, even if IDCRAFT has not expressly objected to them.

1.3

The language available for concluding the contract is German. The German version of these GTC is exclusively authoritative for any order placed by the Customer. Any translations are for information purposes only; in the event of discrepancies, the German version shall prevail.

1.4

Where software of a third-party provider is installed on products, the terms of use of the respective third-party provider shall apply. The Customer is responsible for familiarising itself with and complying with those terms.

1.5

References to statutory provisions are for clarification purposes only. Statutory provisions shall apply even without such express reference, unless they are directly modified or expressly excluded by these GTC.

2. Conclusion of Contract via the Online Shop

2.1

The presentation of products in the online shop idcraft.shop does not constitute a legally binding offer but a non-binding invitation to place an order (invitatio ad offerendum).

2.2

By submitting an order via the online shop, the Customer makes a binding offer to enter into a purchase contract. The Customer will receive an automatic order acknowledgement by email immediately after submitting the order; this acknowledgement documents the Customer's offer but does not yet constitute acceptance.

2.3

A purchase contract is only concluded upon IDCRAFT's express order confirmation by email or upon dispatch of the goods. IDCRAFT reserves the right to decline orders without stating reasons.

2.4

The order confirmation sets out the delivery obligation and specifies the type and scope of the products to be delivered. Product descriptions and information in the online shop are for general information purposes only and do not constitute a guarantee of quality.

2.5

Guarantees may only be agreed in writing, separately from and outside of the order confirmation.

2.6

IDCRAFT is entitled to engage subcontractors to fulfil its contractual obligations without the prior consent of the Customer.

3. Prices and VAT

3.1

All prices displayed in the online shop are net prices in euros, exclusive of applicable VAT. VAT will be shown separately during the ordering process and on the invoice.

3.2

The prices displayed in the online shop at the time of the order shall apply. IDCRAFT reserves the right to amend prices at any time. For already confirmed orders, the price valid at the time of the order confirmation shall apply.

4. Shipping and Delivery

4.1 Delivery times

Delivery times are non-binding unless expressly designated as a fixed deadline in the order confirmation. Delays due to unforeseen circumstances beyond IDCRAFT's control (force majeure, operational disruptions, strikes, official measures, delayed self-supply) shall extend the delivery period accordingly.

4.2 Transfer of risk

Dispatch of goods is always carried out on behalf of and at the request of the Customer. Risk passes to the Customer upon handover of the goods to the carrier at the place of delivery, Neuhofen/Germany. All deliveries are made EX WORKS in accordance with Incoterms 2020, unless otherwise agreed.

4.3 Shipping costs – Germany

For deliveries within Germany, a flat-rate shipping charge of EUR 14.00 per parcel (incl. VAT) applies. For larger orders requiring multiple parcels, shipping costs increase accordingly. The exact number of parcels required and the final shipping costs will be communicated to the Customer with the order confirmation.

4.4 Shipping costs – International

For deliveries outside Germany, shipping costs are calculated individually based on actual effort (weight, volume, destination country) and will be stated in the order confirmation. Any customs duties, taxes or other charges applicable in the country of destination are borne by the Customer.

4.5 Partial deliveries

Partial deliveries and partial services are permissible. Any additional costs arising from partial deliveries requested or caused by the Customer shall be borne by the Customer.

5. Duty to Inspect and Notice of Defects

5.1

Upon taking possession of the goods, the Customer must immediately check quantities and packaging and document any discrepancies, and carry out random quality checks by opening packaging to verify the quality of the goods received.

5.2

Complaints must be submitted to IDCRAFT in writing no later than five (5) working days after receipt of the goods, specifying the nature and extent of the alleged defect. For hidden defects not discoverable during initial inspection, a period of five (5) working days from discovery applies. Timely dispatch of the notice is sufficient to meet the deadline.

5.3

Goods against which no complaint has been raised within the prescribed period and in the required form shall be deemed approved and accepted.

5.4

The Customer undertakes to make any disputed goods available for inspection by IDCRAFT or an expert appointed by IDCRAFT.

6. Returns

6.1

With the exception of defective goods, IDCRAFT only accepts returns if this has been expressly agreed and confirmed in writing by IDCRAFT. Returns must be prepaid by the Customer.

6.2

Returns require the batch number from the delivery note to be provided. Non-defective goods must be returned in undamaged original packaging.

6.3

For each return, the Customer will receive an RMA number (Return Merchandise Authorisation) from IDCRAFT, which must be indicated on the packaging.

7. Payment Terms

7.1

Invoices are generally issued upon delivery or after performance of the service. IDCRAFT reserves the right to require advance payment or to carry out deliveries by cash on delivery. The payment methods available in the online shop are displayed during the ordering process.

7.2

Invoices are payable in full in euros without any deductions. Prices are net prices exclusive of statutory VAT.

7.3

In the event of late payment, IDCRAFT is entitled to charge default interest at a rate of 9 percentage points above the respective base rate. The right to claim further damages is reserved.

7.4

Without express agreement, IDCRAFT is not obliged to accept bills of exchange, cheques or similar means of payment.+

8. Set-off and Right of Retention

The Customer is only entitled to withhold payments or set off claims that are undisputed or have been established by a final and binding court decision.

9. Retention of Title

9.1

IDCRAFT retains title to the delivered goods until the Customer has settled all claims arising from the business relationship with IDCRAFT. In the event of conduct in breach of contract, in particular in the event of default in payment, IDCRAFT is entitled to take possession of the goods.

9.2

The Customer is entitled to resell the goods in the ordinary course of business. IDCRAFT may revoke this authorisation by written notice if the Customer breaches its obligations towards IDCRAFT or if there are doubts as to the Customer's creditworthiness.

9.3

The Customer hereby assigns to IDCRAFT all claims arising from the resale of goods subject to retention of title. IDCRAFT accepts the assignment. Further provisions regarding retention of title (processing, commingling, collection authorisation, third-party access) shall be governed by the applicable statutory provisions and any individual agreements reached.

10. Warranty

10.1

In the event of defective deliveries, the Customer grants IDCRAFT the right to remedy the defect within a reasonable period by way of free replacement delivery or other subsequent performance. The Customer may object to the chosen form of subsequent performance for good cause.

10.2

Unless otherwise agreed, the warranty period for all goods delivered by IDCRAFT is twelve (12) months.

11. Liability

11.1

IDCRAFT shall only be liable for damages in cases of wilful misconduct or gross negligence, or in cases of negligent breach of a material contractual obligation (cardinal obligation). Where a cardinal obligation has been breached negligently, liability is limited to the damage that was typically foreseeable at the time of concluding the contract.

11.2

The typically foreseeable damage shall not exceed the amount of fees paid by the Customer to IDCRAFT under the respective contract, unless the Customer has notified IDCRAFT of a higher risk of damage prior to performance.

11.3

The limitations of liability do not apply to claims arising from injury to life, body or health, claims based on a guarantee given by IDCRAFT, or claims under the German Product Liability Act (Produkthaftungsgesetz).

11.4

The limitations of liability also extend to the personal liability of IDCRAFT's officers, employees and vicarious agents.

12. Order Cancellation

12.1

Any cancellation of a confirmed order requires the prior written consent of IDCRAFT.

12.2

In the event of an approved cancellation, the Customer shall bear the cancellation costs agreed upon by both parties.

13. Data Protection

IDCRAFT collects and processes the Customer's data for the purpose of contract processing in accordance with applicable data protection laws, in particular the GDPR. Further information on data processing can be found in the Privacy Policy at idcraft.shop.

14. Customer's Duty to Cooperate

The Customer is obliged to fulfil reasonable cooperation obligations that IDCRAFT requires for the proper fulfilment of its contractual duties. IDCRAFT will inform the Customer in good time of any necessary cooperation.

15. Final Provisions

15.1 Governing law

All contracts between IDCRAFT and the Customer are governed exclusively by the law of the Federal Republic of Germany. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

15.2 Jurisdiction

If the Customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from the contractual relationship shall be the place of performance as set out in Clause 15.5.

15.3 Severability

Should any provision of these GTC be or become invalid, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by the legally valid provision that comes closest to the original economic intent. If no agreement is reached, the relevant statutory provisions shall apply.

15.4 Export

When exporting IDCRAFT products, IDCRAFT shall not be liable for export eligibility, the necessity of official permits or compliance with foreign trade regulations of the destination country, unless wilful misconduct or gross negligence on the part of IDCRAFT is involved. The Customer is responsible for verifying and complying with the national regulations of the respective destination country. Any customs duties and charges are borne by the Customer.

15.5 Place of performance

The place of performance for deliveries and payments is Neuhofen, Federal Republic of Germany.
